These General Terms and Conditions aim to define the rights and obligations of Tell Me Panda, a simplified joint-stock company (Société par actions simplifiée) with a share capital of €1,000, registered in the Paris Trade and Companies Register under number 878 831 312, regarding its websites tellmepanda.com, https://tellmefrance.tilda.ws/, and https://tell-me-panda.circle.so/ (hereinafter referred to as "the Site") and the Customer purchasing products presented by TELL ME PANDA. They apply exclusively between Tell Me Panda auto entreprise (hereinafter "TELL ME PANDA") and any consumer visiting or making a purchase via said Site (hereinafter "the Customer").
On the Site, TELL ME PANDA enables the Customer to order TELL ME PANDA brand products online (hereinafter referred to as "the Product(s)") in accordance with these terms and conditions.
Any order placed with TELL ME PANDA therefore implies the Customer's unconditional acceptance of these terms and conditions. These general terms and conditions may be amended at any time and without prior notice by TELL ME PANDA, with the applicable terms and conditions being those in effect on the date of the Customer's order.
The prices of the Products sold are those in effect on the day the order is placed. They are denominated in euros and calculated exclusive of tax (VAT not applicable, article 293B of the French General Tax Code). TELL ME PANDA reserves the right to modify its prices at any time. However, it undertakes to invoice the products ordered at the prices indicated when the order is registered.
Payment may be made online, by credit card, or by any other means proposed by the Site, via the payment service provider indicated on the Site. Orders will only be validated once payment has been accepted.
TELL ME PANDA reserves the right to cancel or refuse an order in the event of a dispute with the Customer over a previous order. If, despite TELL ME PANDA's vigilance, the products are unavailable, TELL ME PANDA will inform the Customer by e-mail as soon as possible. The Customer may then cancel the order and be reimbursed for any sums already paid. TELL ME PANDA may not be held liable if the non-execution or delay in the execution of any of its obligations described in these general terms and conditions of sale results from a case of force majeure. Force majeure is defined as any external, unforeseeable, and irresistible event within the meaning of article 1148 of the French Civil Code.
Any dispute relating to the interpretation and execution of these general terms and conditions of sale shall be governed by French law. In the event of translation of these terms and conditions into one or more languages, the language of interpretation shall be French in the event of contradiction or dispute as to the meaning of a term or provision.
In the case of sales of training or individual consultation services, payment is due prior to the execution of the service. In the event of cancellation of the service by the customer less than 24 hours before its scheduled execution, the price of the service is due unless proof of force majeure is provided.
TELL ME PANDA sells, among other products, training courses and consultations aimed at preparing for exams, competitive examinations, and recruitment. TELL ME PANDA accepts an obligation of means with regard to the service purchased but cannot be held to an obligation of result.
In application of the French Intellectual Property Code, all elements of this website and the user platform (layout, videos, PDFs, images, texts, logos, etc.) are the full and complete property of TELL ME PANDA.
TELL ME PANDA grants visitors to its site permission to view its content for personal and private use, on their computers/tablets/mobile phones, to the exclusion of any public viewing or distribution.
Any partial or complete reproduction or representation of this site and its products, TELL ME PANDA trademarks, and logos, whether in paper or electronic form, is strictly prohibited without the express consent of TELL ME PANDA and may be subject to legal action.
