General Terms & Conditions Of Sale (GTCS)

ARTICLE 1 – IDENTIFICATION OF THE SELLER

These General Terms and Conditions of Sale ("GTCS") govern all purchases of products and services offered by:

(hereinafter referred to as "Tell Me Panda" or "the Provider")

and any individual or legal entity purchasing its products or services (hereinafter referred to as "the Customer").

By placing an order, the Customer confirms having read and accepted these GTCS before completing the purchase.

The applicable version of the GTCS is the one published on the Website on the date of the order.

 

ARTICLE 2 – PRODUCTS AND SERVICES

Tell Me Panda provides educational and consulting services, including but not limited to:

  • Career coaching and professional consulting;

  • University admissions consulting;

  • Study abroad guidance;

  • CV, LinkedIn and interview coaching;

  • Online courses and educational programs;

  • Digital products, templates and guides;

  • Individual coaching sessions;

  • Group workshops and webinars.

The detailed description, content and price of each service are available on the Website or the relevant sales page.

 

ARTICLE 3 – PRICES

All prices are expressed in euros (€).

VAT is not applicable pursuant to Article 293 B of the French General Tax Code (franchise en base de TVA).

Tell Me Panda reserves the right to modify its prices at any time. However, the Customer will always be charged the price displayed at the time of purchase.

 

ARTICLE 4 – PAYMENT

Payment must be made in full before any service begins or any digital product is delivered.

Payments may be made by:

  • Credit or debit card;

  • Bank transfer;

  • Stripe;

  • Any payment method made available during checkout.

An order becomes final once payment has been successfully received.

Invoices are issued electronically.

 

ARTICLE 5 – CANCELLATION OF SERVICES

For individual coaching sessions, cancellations made at least 24 hours before the scheduled appointment may be rescheduled free of charge.

Sessions cancelled less than 24 hours before the appointment, or missed without prior notice, are considered delivered and are non-refundable, except in cases of force majeure as defined by Article 1218 of the French Civil Code.

For consulting packages and personalised services, once work has begun, no refund shall be due unless otherwise required by law or expressly agreed by the Provider.

 

ARTICLE 6 – RIGHT OF WITHDRAWAL

Where applicable, consumers residing in the European Union benefit from a statutory withdrawal period of fourteen (14) calendar days from the date of purchase.

However, in accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply where:

  • the Customer has requested the immediate performance of a service and acknowledged that the right of withdrawal is lost once the service has been fully performed;

  • digital content is supplied immediately after purchase with the Customer's prior express consent and acknowledgement that the right of withdrawal is waived.

To exercise the right of withdrawal, the Customer must send an unambiguous request by email to:

Any reimbursement will be made within the legal period using the original payment method.

 

ARTICLE 7 – OBLIGATION OF MEANS

Tell Me Panda provides educational, consulting and coaching services.

The Provider is bound by an obligation of means ("obligation de moyens") and not by an obligation of result ("obligation de résultat").

Success in university admissions, visa procedures, employment, examinations, interviews or any other objective depends on numerous factors beyond the Provider's control, including the Customer's own efforts and decisions made by third parties.

Accordingly, no specific outcome or result can be guaranteed.

 

ARTICLE 8 – INTELLECTUAL PROPERTY

All documents, videos, presentations, templates, worksheets, PDFs, graphics, logos, trademarks, course materials, educational content and other resources provided by Tell Me Panda remain the exclusive intellectual property of the Provider.

The Customer receives a personal, non-exclusive and non-transferable licence to use purchased content for private purposes only.

The Customer may not:

  • copy;

  • distribute;

  • share;

  • reproduce;

  • publish;

  • sell;

  • sublicense;

  • make available to third parties

any part of the content without the Provider's prior written consent.

Any infringement may result in legal proceedings.

 

ARTICLE 9 – PERSONAL DATA

Tell Me Panda processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable French legislation.

Personal data is processed solely for purposes related to:

  • managing orders;

  • providing services;

  • communicating with Customers;

  • complying with legal obligations.

Customers may exercise their rights of access, rectification, deletion, restriction or objection by contacting:

ARTICLE 10 – LIABILITY

Tell Me Panda undertakes to perform its services professionally and in good faith.

Except where prohibited by mandatory law, the Provider's total liability shall not exceed the total amount paid by the Customer for the relevant service.

The Provider shall not be liable for indirect damages, loss of profit, loss of opportunity or any consequential losses.

The Provider shall not be liable for temporary interruptions or failures of third-party platforms, payment providers, communication tools or other external services beyond its reasonable control.

Nothing in these GTCS excludes liability where exclusion is prohibited by French law.

 

ARTICLE 11 – FORCE MAJEURE

Neither party shall be liable for failure or delay in performing its obligations where such failure results from force majeure within the meaning of Article 1218 of the French Civil Code.

Where possible, the affected service shall be rescheduled by mutual agreement.

 

ARTICLE 12 – CONSUMER MEDIATION

In the event of a dispute that cannot be resolved amicably, the Customer may have recourse to a consumer mediator free of charge, in accordance with Articles L.612-1 and following of the French Consumer Code. The details of the competent mediator will be communicated upon request by contacting contact@tellmepanda.com.

 

ARTICLE 13 – APPLICABLE LAW

These GTCS are governed by French law.

Where mandatory consumer protection rules provide otherwise, those mandatory provisions shall prevail.

If any provision of these GTCS is declared invalid or unenforceable, the remaining provisions shall remain fully effective.
